Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Smart Maintenance Task Manager website (sm-tm.app) and the Smart Maintenance Task Manager application (the "Services"), operated by Pegotec Pte. Ltd. ("Pegotec", "we", "us").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
These Terms apply to all visitors, users, and customers of our Services. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that organisation.
2. Description of Services
Smart Maintenance Task Manager provides a cloud-based maintenance management platform that includes:
- A web-based administration and management dashboard
- A mobile application (iOS and Android) for field technicians
- Task scheduling, assignment, and tracking tools
- Asset hierarchy management
- Reporting and analytics
- Supporting infrastructure, APIs, and integrations
3. Account Registration
To access the Services, you must create an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorised use of your account
You may not share account credentials across multiple users. Each user must have their own login.
4. Subscription and Payment
4.1 Access to the Services is provided on a subscription basis. Subscription terms, pricing, and payment details are agreed in a separate commercial agreement or Order Form.
4.2 Subscriptions are billed monthly or annually as agreed. All fees are exclusive of applicable taxes.
4.3 Late or failed payments may result in suspension of access to the Services.
4.4 We reserve the right to change our pricing with 30 days' written notice.
5. Acceptable Use
You agree to use the Services only for lawful purposes. You must not:
- Use the Services for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorised access to any part of the Services
- Interfere with or disrupt the Services or connected networks
- Reverse engineer, decompile, or attempt to extract the source code of any part of the Services
- Use the Services to store or transmit malicious code or viruses
- Scrape, copy, or redistribute content from the Services without written permission
- Resell, sublicense, or make the Services available to third parties without authorisation
- Use the Services in a manner that infringes the intellectual property rights of others
6. Data and Privacy
6.1 Your use of the Services is governed by our Privacy Policy, incorporated into these Terms by reference.
6.2 You retain ownership of all data you input into the Services ("Customer Data"). We do not claim ownership of your Customer Data.
6.3 You grant Smart Maintenance Task Manager a limited licence to host, store, transmit, and process your Customer Data solely to provide the Services.
6.4 We implement appropriate security measures to protect Customer Data. See our Privacy Policy for details.
6.5 For customers processing personal data of EU, UK, or Singapore residents, a Data Processing Agreement (DPA) is available on request. Contact privacy@sm-tm.app.
7. Intellectual Property
7.1 Smart Maintenance Task Manager and all related technology, software, content, trademarks, and intellectual property remain the exclusive property of Pegotec Pte. Ltd. or its licensors.
7.2 These Terms do not grant you any ownership rights in the Services.
7.3 You may not use the Smart Maintenance Task Manager name, logo, or branding without prior written consent.
8. Availability and Service Levels
8.1 We aim to maintain a high level of service availability but do not guarantee uninterrupted access.
8.2 We may perform maintenance, updates, or modifications to the Services from time to time. We will endeavour to give advance notice of planned downtime.
8.3 We are not liable for losses caused by service interruptions beyond our reasonable control.
9. Limitation of Liability
9.1 To the maximum extent permitted by applicable Singapore law, Smart Maintenance Task Manager shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill.
9.2 Our total liability for any claims under these Terms shall not exceed the fees paid by you in the 12 months immediately preceding the claim.
9.3 Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold Smart Maintenance Task Manager harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law or third-party rights
- Any data you submit to the Services
11. Termination
11.1 Either party may terminate the subscription with written notice in accordance with the commercial agreement.
11.2 We may immediately suspend or terminate your access if you materially breach these Terms, fail to pay, or engage in conduct that poses a security or legal risk.
11.3 Upon termination, your right to access the Services ends. You may export your Customer Data before termination. We will retain Customer Data for 30 days after termination, then delete it in accordance with our Privacy Policy.
12. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or prominent notice on our website. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by the laws of Singapore.
13.2 Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration under SIAC Rules, with Singapore as the seat of arbitration.
14. General
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable commercial agreement, constitute the entire agreement between you and Smart Maintenance Task Manager regarding the Services.
- Severability: If any provision of these Terms is found invalid, the remaining provisions remain in effect.
- No Waiver: Failure to enforce any provision does not constitute a waiver.
- Assignment: You may not assign these Terms without our written consent. We may assign our rights to a successor.
